These Terms of Service constitute a binding legal agreement between you and Swfte Limited. They govern your access to and use of the Swfte platform and all related products and services. By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you and Swfte Limited ("Swfte," "we," "our," or "us"). By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the terms "you" and "your" shall refer to that entity.
These Terms are effective as of January 1, 2025.
2. Products and Scope
The "Services" refer collectively to the Swfte platform, its constituent products, related websites, application programming interfaces, and all associated documentation and support resources. The Services include the following products and capabilities, as well as any future products or features that Swfte may introduce from time to time.
Core Platform Products
Workstation is a unified desktop application available for macOS and Windows that provides a centralized workspace for interacting with AI agents, executing workflows, collaborating with team members, viewing usage analytics, configuring role-based access controls, and working offline.
Studio is a no-code orchestration platform that enables you to design, build, test, evaluate, version, and deploy AI agents and workflows. Studio includes visual workflow builders, testing environments, observability tooling, and governance controls.
Marketplace is a catalog of pre-built AI agents, templates, integrations, and extensions published by Swfte or third-party developers. Marketplace enables the discovery, deployment, and management of AI capabilities across your organization.
Connect is an intelligent LLM gateway and router that provides unified access to multiple AI model providers with smart routing, cost optimization, automatic failover, real-time metrics, and enterprise-grade security controls.
Embedded and Developer Tools
Embedded SDK comprises developer tools and software development kits for React, Vue, Angular, Flutter, iOS, Android, and backend frameworks. These SDKs enable you to embed white-label AI capabilities — including chat interfaces, voice interactions, video calls, and document question-and-answer — into your own applications.
APIs and Integrations include RESTful APIs, webhooks, and connectors to third-party systems, databases, cloud services, and enterprise applications.
Specialized Products
UpSkill is an AI-powered employee training and onboarding platform that transforms organizational knowledge into adaptive learning experiences, personalized training paths, and interactive educational content.
Monitor+ (Beta) is a unified business monitoring dashboard that consolidates visibility across orders, fulfillments, cloud resources, logs, business metrics, social engagement, and security events.
AvatarMe (Beta) provides AI-powered digital avatar creation for video communications, training content, customer engagement, and multilingual presentations.
Reachout (Beta) is an AI-driven outbound campaign automation tool for lead generation, customer engagement, multi-channel outreach, and relationship nurturing.
Inbound (Beta) provides AI-powered handling of incoming customer requests through embeddable widgets, intelligent phone systems, lead capture, qualification, and routing.
Additional service-specific terms, enterprise agreements, or order forms may apply to certain plans, features, or deployments. In the event of a conflict between these Terms and any such additional terms, the additional terms shall prevail with respect to the applicable product or service.
3. Eligibility
You must be at least eighteen (18) years of age, capable of forming a binding contract under applicable law, and not barred from using the Services under any applicable jurisdiction. If you create an account on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that entity assumes responsibility for compliance with these Terms.
4. Accounts and Security
You shall (a) provide accurate, complete, and current information when creating your account; (b) keep your account information up to date at all times; (c) safeguard your login credentials, API keys, access tokens, and all other authentication mechanisms; and (d) accept responsibility for all activity that occurs under your account, whether or not authorized by you.
You must promptly notify Swfte at security@swfte.com of any suspected unauthorized use of your account, any security incident, or any breach or compromise of your credentials.
Team and enterprise features — including role-based access control, single sign-on, audit logs, and administrative controls — may be available on certain subscription plans. You are responsible for configuring and managing roles, permissions, and user access in accordance with your organization's security requirements.
Swfte reserves the right to suspend or restrict access to any account that exhibits suspicious activity, poses a security risk, or violates these Terms.
5. Subscription, Fees, and Taxes
Pricing and Plans
Pricing, plan limits, included usage allowances, and feature availability are as described at the time of sign-up, on the Swfte pricing page, or in your order form or enterprise agreement. Usage-based charges may apply for consumption metrics including, without limitation, AI model tokens, compute resources, storage, API calls, integration calls, agent executions, user seats, and bandwidth.
Billing and Renewal
Unless otherwise stated in your order form, subscriptions renew automatically at the end of each billing cycle — whether monthly or annual — until canceled. You may cancel your subscription at any time through your account settings or by contacting Swfte. Cancellations take effect at the end of the then-current billing period, and you will retain access to the Services until that date. Swfte may adjust its pricing upon reasonable advance notice; any price changes will apply beginning with the next renewal period following such notice.
Refunds
Fees are generally non-refundable except as required by applicable law or as expressly stated in these Terms or in your order form. If you believe you have been incorrectly charged, you must contact billing@swfte.com within thirty (30) days of the charge in question.
Taxes
You are responsible for all applicable taxes, duties, levies, and governmental charges arising from your use of the Services, excluding taxes based on Swfte's net income. Swfte may charge and collect applicable taxes where required by law. If you are tax-exempt, you must provide valid exemption documentation prior to the applicable transaction.
6. Acceptable Use
You agree not to, and not to permit or enable any third party to, engage in any of the following activities in connection with the Services.
Prohibited Activities
You shall not (a) violate any applicable law, regulation, or third-party right, including intellectual property, privacy, publicity, or contractual rights; (b) submit, process, or generate content that is unlawful, defamatory, harassing, discriminatory, threatening, pornographic, or that promotes violence, hatred, or illegal activities; (c) use the Services to create deceptive content, misinformation, spam, phishing attempts, or fraudulent schemes; (d) probe, scan, or test the vulnerability of the Services, or attempt to bypass, circumvent, or disable any security feature, authentication mechanism, or rate limit; (e) interfere with, disrupt, or degrade the performance of the Services, servers, or networks, including through denial-of-service attacks, excessive load generation, or automated scraping; (f) access the Services or any related system without authorization, or exceed your authorized level of access; (g) reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services, except to the extent expressly permitted by applicable law; (h) resell, redistribute, or sublicense access to the Services without Swfte's prior written authorization; or (i) use the Services to develop products or services that compete with the Services.
Regulated Data
You shall not submit or process highly regulated data — including protected health information subject to HIPAA, payment card data subject to PCI-DSS, or other specially protected data categories — unless your subscription plan expressly permits such use and all required agreements (such as a Business Associate Agreement) have been executed.
AI-Specific Requirements
You shall not (a) misrepresent AI-generated outputs as human-created where disclosure is required by law, regulation, or applicable platform policies; or (b) use the Services to create deepfakes, non-consensual synthetic media, or deceptive impersonations of real individuals. You are responsible for implementing appropriate human oversight for any AI-assisted decisions that materially affect individuals.
7. Customer Data and Generated Content
Definitions
"Customer Data" means all data, prompts, inputs, files, documents, configurations, and other content that you provide to the Services. "Outputs" means any content, responses, or results generated by the Services based on Customer Data or your instructions.
Ownership
You retain all right, title, and interest in and to your Customer Data. As between you and Swfte, you own your Outputs, subject to (a) these Terms; (b) any applicable third-party model provider terms; and (c) any rights of third parties in the underlying data. You acknowledge that Outputs may not be unique and that similar or identical Outputs may be generated for other users of the Services.
License to Swfte
You grant Swfte a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, copy, and otherwise use Customer Data and Outputs solely as necessary to (a) provide, operate, maintain, and improve the Services; (b) ensure security and prevent abuse; (c) comply with applicable legal obligations; and (d) provide support.
Aggregated and De-identified Data
Swfte may generate, use, and disclose aggregated or de-identified data derived from Customer Data that does not identify you or any individual user. Such data may be used for analytics, benchmarking, service improvement, research, and other lawful purposes.
Your Responsibilities
You are solely responsible for (a) the content, accuracy, quality, and legality of Customer Data; (b) obtaining all necessary rights, consents, and authorizations to provide Customer Data to the Services; (c) your use and distribution of Outputs; and (d) ensuring that your use of the Services complies with all applicable laws, regulations, and third-party obligations.
8. Third-Party Services and Integrations
Connect and Integration Features
The Services may enable connections to third-party products, services, and platforms, including AI model providers (such as OpenAI, Anthropic, and Google), cloud infrastructure providers (AWS, Azure, GCP), enterprise applications (Salesforce, Slack, Microsoft 365), databases, and other systems. Your use of any third-party service is governed by that service's own terms of service, privacy policies, and acceptable use policies, which you are responsible for reviewing and complying with.
Authorization and Data Sharing
By enabling an integration, you authorize Swfte to access and process data from the connected third-party service to the extent necessary to provide the integration functionality. You may revoke integration access at any time through your account settings; however, revocation may disable features that depend on the integration.
Third-Party Responsibility
Swfte does not control and is not responsible for the availability, performance, pricing, terms, or data handling practices of any third-party service. Third-party AI model outputs are subject to the limitations of the respective providers and may vary in quality, accuracy, and availability.
9. Service-Specific Terms
Workstation
Workstation is a desktop application that may store data locally on your device to enable offline functionality. You are responsible for securing devices on which Workstation is installed and for maintaining backups of locally stored data. Workstation may automatically download and install updates to deliver security patches and new features.
Studio
Studio enables you to design AI workflows, configure prompts and policies, create evaluation frameworks, and deploy agent versions with rollout and rollback controls. Logs, traces, metrics, and debugging information may be collected to support observability and troubleshooting. You are responsible for thoroughly testing, validating, and monitoring your workflows, agents, guardrails, and downstream actions prior to production deployment. Studio is not designed for life-critical, safety-critical, or high-stakes autonomous decision systems without appropriate human oversight.
Marketplace
Items in the Marketplace may be published by Swfte ("Official") or by third-party publishers ("Community" or "Partner"). Third-party items are subject to the publisher's own terms in addition to these Terms. Swfte may review, flag, disable, or remove items that violate applicable policies, laws, or quality standards, but does not guarantee that all items have been reviewed. If you publish items to the Marketplace, additional publisher terms and agreements apply, including terms governing revenue sharing, fees, and payment.
Embedded SDK
The Embedded SDK is provided for integration into your own applications and services. You may customize the appearance and branding of embedded components as permitted by your subscription plan. You are responsible for your end users' use of embedded functionality, for presenting appropriate terms and disclosures to your users, and for ensuring compliance with applicable laws. SDK usage may be metered and subject to usage-based pricing.
Connect (LLM Gateway)
Connect routes requests to various AI model providers based on your configuration, routing rules, and optimization settings. Costs for underlying model provider usage may be passed through or included in your subscription plan as specified. Provider availability, model capabilities, and pricing are subject to change by the respective providers without notice to Swfte.
UpSkill
UpSkill processes your organizational documents and knowledge bases to generate training content. You represent and warrant that you have all necessary rights to use any content you upload for training generation purposes. Generated training materials should be reviewed for accuracy before deployment to learners.
AvatarMe (Beta)
You must have all necessary rights and consents to use any names, likenesses, voices, photographs, or brand assets in avatar creation and generated media. You shall not use AvatarMe to create deceptive impersonations, non-consensual deepfakes, or content that violates the rights or dignity of any individual. You are responsible for obtaining appropriate consents from individuals whose likeness is used and for complying with all applicable privacy, publicity, and employment laws. Swfte may watermark, label, or otherwise identify AI-generated avatar content where appropriate or required by law.
Reachout and Inbound (Beta)
These products involve automated communications with third parties, including your customers, leads, and prospects. You are solely responsible for compliance with all applicable communications laws, including CAN-SPAM, TCPA, GDPR, and equivalent regulations in your jurisdiction. You must maintain accurate opt-out mechanisms, honor unsubscribe requests promptly, and refrain from engaging in prohibited spam or unsolicited communications. You bear responsibility for the accuracy of contact data and for ensuring that you have a lawful basis to contact each individual.
10. Trials, Beta, and Pre-release Features
Free trials, beta features, and pre-release functionality are provided "as is" and "as available" without any warranties, service level commitments, or support obligations. Beta and pre-release features may be modified, suspended, or discontinued at any time without prior notice. Data created during trials or within beta features may be deleted upon trial expiration or feature discontinuation. Usage limits and restrictions may apply to trial and beta access. Beta features are identified with a "Beta" designation within the Services.
11. Availability, Support, and Changes
Service Availability
Swfte endeavors to provide reliable Services with reasonable uptime and scheduled maintenance windows. For enterprise plans, specific availability commitments and service level agreements may be described in your order form or enterprise agreement. Notwithstanding the foregoing, Swfte does not guarantee uninterrupted, error-free, or completely secure operation of the Services.
Support
Support availability and response times vary by subscription plan tier. Enterprise support terms are described in the applicable enterprise agreement. Documentation and self-service resources are available at docs.swfte.com.
Changes to Services
Swfte may modify, update, or discontinue features of the Services to improve performance, security, or usability, or to comply with legal requirements. If any such change materially reduces the core functionality of a paid subscription plan, Swfte will provide reasonable advance notice and, where appropriate, offer alternatives or pro-rated refunds for the affected period.
12. Intellectual Property
Swfte's Rights
Swfte and its licensors retain all right, title, and interest in and to the Services, including all software, algorithms, models, documentation, designs, trademarks, trade secrets, and other intellectual property embodied in or relating to the Services. Nothing in these Terms transfers any ownership of Swfte intellectual property to you.
Your License to Use
Subject to your compliance with these Terms and applicable plan limits, Swfte grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription.
Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding the Services ("Feedback"), you hereby grant Swfte a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, modify, incorporate, and otherwise exploit such Feedback for any purpose without restriction, attribution, or compensation.
Trademarks
"Swfte," the Swfte logo, and individual product names are trademarks of Swfte Limited. You may not use Swfte's trademarks without prior written permission, except as necessary to accurately reference the Services in the ordinary course of business.
13. Confidentiality
Each party acknowledges that, in connection with these Terms, it may receive non-public information from the other party ("Confidential Information"). The receiving party shall (a) protect Confidential Information with at least the same degree of care it uses for its own confidential information, but no less than reasonable care; (b) use Confidential Information solely for purposes of exercising its rights and performing its obligations under these Terms; and (c) not disclose Confidential Information to any third party except to employees and contractors who have a need to know and are bound by confidentiality obligations at least as restrictive as those set forth herein.
Information shall not be considered Confidential Information if it (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known to the receiving party prior to disclosure; (c) is rightfully obtained by the receiving party from a third party without restriction; or (d) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.
14. Data Security
Swfte implements administrative, technical, and physical safeguards designed to protect Customer Data, including encryption of data in transit and at rest, role-based access controls, continuous security monitoring, and documented incident response procedures. Swfte maintains SOC 2 Type II certification and complies with applicable security standards.
No method of electronic transmission or data storage is completely secure, and Swfte cannot guarantee absolute security. You acknowledge and accept this inherent risk. For enterprise customers, additional security documentation — including security whitepapers and completed security questionnaires — is available upon request.
15. Privacy and Data Processing
The Swfte Privacy Policy describes how Swfte collects, uses, stores, and discloses personal information. By using the Services, you acknowledge and agree to the data practices described in the Privacy Policy.
For customers requiring compliance with the General Data Protection Regulation (GDPR), a Data Processing Addendum (DPA) is available and shall be incorporated by reference where applicable. For customers requiring compliance with the Health Insurance Portability and Accountability Act (HIPAA), a Business Associate Agreement (BAA) may be available for qualifying enterprise plans upon request.
16. Term and Termination
Term
These Terms remain in effect for so long as you access or use the Services. The term of your subscription is as specified at sign-up or in your order form.
Termination by You
You may terminate your subscription at any time by canceling through your account settings and ceasing all use of the Services. Upon cancellation, you will retain access to the Services until the end of your current billing period, unless you request immediate termination.
Termination by Swfte
Swfte may suspend or terminate your access to the Services if (a) you breach any provision of these Terms; (b) you fail to pay any amounts owed; (c) your use poses a security risk or threat to the Services or other users; (d) your use is unlawful; (e) your account has been inactive for an extended period; or (f) upon reasonable prior notice for any other reason. Swfte will provide notice prior to termination where practicable, except in cases involving serious violations or imminent security threats.
Effect of Termination
Upon termination, (a) your right to access and use the Services shall immediately cease; (b) you must discontinue use of all Swfte materials, software, and embedded components; and (c) Swfte will delete or return Customer Data in accordance with its data retention policies and applicable law, typically within thirty (30) days. You may request an export of your Customer Data prior to the effective date of termination. The provisions of these Terms relating to intellectual property, confidentiality, limitation of liability, indemnification, dispute resolution, and general provisions shall survive termination.
17. Disclaimers
THE SERVICES AND ALL RELATED CONTENT, OUTPUTS, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
SWFTE DOES NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) DEFECTS WILL BE CORRECTED IN A TIMELY MANNER; (C) OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR FREE FROM ERROR; (D) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; OR (E) ANY DATA STORED WITHIN THE SERVICES WILL NOT BE LOST OR CORRUPTED.
AI-GENERATED OUTPUTS MAY CONTAIN ERRORS, INACCURACIES, BIASES, OR HALLUCINATIONS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VALIDATING, AND VERIFYING ALL OUTPUTS BEFORE RELIANCE, DISTRIBUTION, OR USE IN ANY DECISION-MAKING PROCESS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
EXCLUSION OF DAMAGES. NEITHER SWFTE NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER ANY PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CAP ON LIABILITY. SWFTE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO SWFTE FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
EXCEPTIONS. THE FOREGOING LIMITATIONS SHALL NOT APPLY TO (A) EITHER PARTY'S BREACH OF ITS CONFIDENTIALITY OBLIGATIONS; (B) EITHER PARTY'S INDEMNIFICATION OBLIGATIONS; (C) YOUR BREACH OF THE ACCEPTABLE USE OR PAYMENT PROVISIONS OF THESE TERMS; OR (D) LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
19. Indemnification
You shall defend, indemnify, and hold harmless Swfte and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or relating to (a) Customer Data or your Outputs, including any claim that such data or content infringes or violates the rights of a third party; (b) your use of the Services in violation of these Terms; (c) your violation of applicable laws, regulations, or third-party rights; (d) your use of third-party services or integrations in connection with the Services; (e) the use of the Services by your end users through functionality you provide; and (f) content created using AvatarMe, Reachout, or Inbound.
20. Export Compliance
You shall comply with all applicable export control laws, economic sanctions, and trade compliance regulations, including those of the United States, the European Union, and other applicable jurisdictions. You shall not use the Services in or for the benefit of, or export or re-export the Services to, any country, entity, or individual that is subject to comprehensive sanctions or applicable export restrictions.
21. Dispute Resolution and Governing Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.
Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through binding arbitration administered by the International Chamber of Commerce (ICC) under its Rules of Arbitration. The seat of arbitration shall be Dublin, Ireland. The language of the arbitration shall be English. The award rendered by the arbitrator shall be final and binding on the parties and may be entered in any court of competent jurisdiction.
Class Action Waiver
YOU AND SWFTE AGREE THAT ANY DISPUTES SHALL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.
Enterprise Customers
Enterprise customers may have different dispute resolution provisions specified in their master agreement or order form, which shall govern in the event of a conflict with this Section.
22. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, any applicable order forms, and any service-specific terms referenced herein, constitute the entire agreement between you and Swfte with respect to the Services and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral.
Amendments
Swfte may update these Terms from time to time. If any update is material, Swfte will provide reasonable notice by email or by prominent notice within the Services. Your continued use of the Services after the effective date of any updated Terms constitutes your acceptance of such Terms. If you do not agree with any update, you must discontinue use of the Services.
Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Swfte. Swfte may assign these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, without your consent.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to render it valid and enforceable while preserving the parties' original intent.
Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of such provision or of the right to enforce it at a later time.
Force Majeure
Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemics, epidemics, labor disputes, utility or infrastructure failures, or internet service disruptions.
